AAA is hiring for a _**Litigation & Employment Assistant General Counsel**_ to join our Legal team in Wilmington, DE!
**The primary duties of the****Litigation & Employment Assistant General Counsel are:**
* Provides legal advice directly to clients on questions of significant complexity on a regular basis; conducts legal research in a wide variety of legal areas, and, when greater expertise is required, instructs and manages retained counsel on such questions; collaborates on the development of legal strategies and the implementation thereof with outside counsel and the Chief Legal Officer.
* Supports and confers with clients at CEO and senior officer level and below.
* Provides legal support and advise to the Human Resources Department including, but not limited to, the following areas: ERISA issues, including qualified and non-qualified benefit plans; executive compensation plans; legal issues raised by health and welfare programs; Fair Labor Standards Act and State and Federal non-discrimination laws; National Labor Relations Act and issues related to unionization; day-to-day HR matters under Federal and State laws relative to employee classification, staff reductions.; handling, defense and settlement of discrimination claims before the State and Federal agencies; drafting of executive employment, consulting and other contractual arrangements sponsored by HR; corporate governance issues created by benefit plan changes; the Companys Corporate Compliance & Ethics Committee; employee compliance and other investigations.
* Scans legal and business environments (with the business plans and strategies of the Organization in mind) to identify emerging legal issues; proposes legal and business responses to threats and opportunities in a timely and useful way.
* Leads Organization-wide committees, project teams or working groups in order to assess legal risk, suggest strategies to minimize such risk, anticipate legal issues, and avoid legal constraints on developing plans.
* Proactively recommends legal and business strategies and tactics that harmonize the legal and business objectives of the Organization with requirements of the law and contributes to the development of business objectives and strategies. Autonomously develops legal strategies to address legal risks within his/her areas of responsibility.
* Initiates and leads departmental projects to improve the delivery of legal services.
* Drafts legal documents of material importance and negotiates the final form of contracts on behalf of clients with commercial value regularly in the hundreds of thousands of dollars and occasionally in the multi-million dollar range. Manages HR and Commercial claims, litigation and/or legal disputes including, but not limited to, class-action litigations, regularly exceeding $1,000,000.
* Prepares documents for clients communications with external entities such as consumers, regulators, other agencies of government and the media.
* Appears on behalf of the Organization before judicial, legislative and regulatory bodies.
* Represents the interests of the Organization through membership in state and national trade associations, civic and professional groups and the sharing of legal expertise with the members of such groups.
* Assists the Chief Legal Officer in the development of the Corporate Legal Departments annual business plan and budget and such other administrative/management tasks as are assigned from time to time by the Chief Legal Officer.
* Identifies pertinent changes in the legal landscape and in a variety of ways communicates information concerning such changes to the Organization, and proactively develops legal strategy to address such changes.
* Maintains effective relationships with employees of other AAA clubs and AAA National in order to identify common issues, problems, and solutions to such issues and problems.
**Minimum Qualifications:**
* Juris Doctor Degree and 10-12 years of active practice of the law as a litigator and advisor on employment and benefit legal matters in private practice and as an in-house attorney.
* Current admission to a state bar.
* Current continuing legal education accreditation.
* Demonstrated expert understanding and knowledge of the law as it pertains to his or her duties and of one or more of the Organizations business areas allowing the incumbent to work autonomously on most matters.
* Ability to perform all duties and responsibilities without direct supervision of the Chief Legal Officer.
* Ability to exercise discretion and employ independent judgment with respect to the counseling of clients on complex legal matters.
* Ability to represent the Organization effectively in matters involving communications of any kind with parties outside the Organization.
* Ability to maintain and continue to develop legal expertise and business knowledge in all matters upon which advice and counsel is offered.
* High results orientation and a proactive orientation to performance of the duties and responsibilities of the position.
* Excellent written and oral communication skills.
* Proficient in Microsoft Office (Word, Outlook, etc.
